These Terms of Service ("Terms") govern your use of payloadco.com (the "Site") and any order you submit through it. By using the Site or submitting an order request, you agree to these Terms. If you do not agree, do not use the Site.
1. Research Use Only
All products offered on the Site are sold strictly for laboratory research use only ("RUO"). They are not drugs, dietary supplements, cosmetics, or consumer products, and are not intended for human or animal consumption, ingestion, injection, or any other in vivo use. Nothing on the Site is intended to diagnose, treat, cure, or prevent any disease or condition. By placing an order, you represent and warrant that you are purchasing solely for lawful research purposes, that you are qualified by training or institutional affiliation to handle research chemicals safely, and that you will not administer, resell, or distribute any product for human or animal use.
2. Eligibility
You must be at least 18 years old to use the Site or place an order. By ordering, you represent that you meet this requirement and that you have the legal capacity to enter into a binding contract. We may refuse or cancel any order at our discretion, including where we cannot verify a legitimate research use.
3. How ordering works
The Site does not process payment online. Adding items to your cart does not create a contract of sale. An order request submitted via the Site (by email) is an offer to buy, which we may accept or decline. A contract is formed only once we confirm your order, final pricing (including shipping), and payment instructions in writing, and you complete payment. Prices shown on the Site are estimates until confirmed.

5. Prohibited use
You may not use the Site or any product purchased through it to: administer to a human or animal in any form; resell or represent any product as approved, tested, or safe for human or animal use; violate any applicable law or regulation; or misrepresent your identity, age, or purpose in purchasing.
6. Disclaimer of warranties
Products are provided "as is" and "as available," without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that products are suitable for any specific research application. Any Certificate of Analysis provided reflects testing of the referenced lot only and is not a warranty of purity, identity, or fitness for any purpose.
7. Limitation of liability
To the fullest extent permitted by law, PayloadCo and its owner(s) will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, use, or goodwill, arising from your use of the Site or any product purchased through it, even if advised of the possibility of such damages. Our total liability for any claim arising from an order will not exceed the amount you paid for that order. Nothing in these Terms limits liability that cannot be limited under applicable law.
8. Indemnification
You agree to indemnify and hold harmless PayloadCo, its owner(s), and affiliates from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from your misuse of any product, your violation of these Terms, or your violation of any law or third-party right.
9. Where we ship / jurisdiction exclusions
We do not knowingly ship to jurisdictions where the purchase, import, or possession of research chemicals is restricted or prohibited. See Shipping & Returns for the current exclusion list. You are responsible for confirming that receiving these products is lawful in your jurisdiction before ordering.
10. Governing law and disputes
These Terms are governed by the laws of the State of [Your State], without regard to conflict-of-law principles. Any dispute arising from these Terms or an order will be resolved by binding individual arbitration under the rules of [American Arbitration Association / other body], rather than in court, except that either party may bring an individual claim in small claims court. You and PayloadCo each waive any right to a jury trial or to participate in a class action.
